Terms of Service

1. Acceptance of Terms

By accessing or using the LAYAworks platform, website, mobile application, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

“LAYAworks,” “we,” “us,” and “our” refer to LAYAworks and its affiliates. “You” and “your” refer to the individual or entity using the Service.

2. Description of Service

LAYAworks is a recruiting technology platform that connects job applicants with employers through a mobile-first, conversational application experience. The Service includes:

  • Job application submission and management for applicants.
  • Applicant tracking, interview scheduling, and hiring pipeline tools for employers.
  • SMS and email notifications for application status updates, scheduling, and verification.
  • AI-assisted recruiting features including applicant evaluation and role matching.

3. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this minimum age requirement and that you have the legal capacity to enter into these Terms.

4. User Accounts

Certain features of the Service require an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or are otherwise harmful to the Service or its users.

5. SMS Text Messaging Terms

By providing your phone number and opting in to receive text messages from LAYAworks, you consent to receive SMS messages related to your use of the Service. This section constitutes the terms and conditions of the LAYAworks text messaging program.

5.1 Program Description

The LAYAworks text messaging program sends transactional SMS messages to applicants and employers in connection with the recruiting process. Messages include:

  • One-time verification codes for identity confirmation and account access.
  • Application status updates (received, reviewed, interview, offer, etc.).
  • Interview scheduling confirmations and reminders.
  • Hiring process notifications and next steps.

5.2 Message Frequency

Message frequency varies depending on your application activity and hiring stage. You may receive approximately 10 messages per month. Messaging frequency may increase during active interview scheduling periods.

5.3 Message and Data Rates

Standard message and data rates may apply. Check with your mobile carrier for details about your messaging plan and any charges that may apply to SMS messages.

5.4 Opt-Out / How to Stop

You may opt out of receiving text messages at any time by replying STOP to any message you receive from LAYAworks. After opting out, you will receive a single confirmation message and no further text messages. You may also opt out by contacting us at help@layaworks.ai.

Note: Opting out of SMS does not affect other communications (email) or your application status. You will still be able to access the Service and check your application status online.

5.6 Carrier Liability

Carriers are not liable for delayed or undelivered messages. LAYAworks is not responsible for messages that are delayed or fail to deliver due to carrier issues, network congestion, or device incompatibility.

5.7 Consent Not Required

Consent to receive text messages is not a condition of purchasing any goods or services, or of applying for any job through LAYAworks. You may decline SMS opt-in and still use the Service.

5.8 No Third-Party Sharing of Consent

Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes. SMS opt-in data and consent will not be shared with third parties except messaging providers required to deliver the service. Your messaging consent is used exclusively by LAYAworks to deliver the transactional messages described in this section.

6. Applicant Terms

If you use the Service as a job applicant, you agree that:

  • All information you provide is accurate, truthful, and complete to the best of your knowledge.
  • Your application information will be shared with the specific employer(s) whose role(s) you apply to.
  • LAYAworks does not guarantee employment or any particular outcome from using the Service.
  • You will not submit fraudulent, misleading, or false application information.

7. Employer Terms

If you use the Service as an employer, you agree that:

  • All job postings are for legitimate, verifiable positions with accurate pay ranges and schedule information.
  • You will comply with all applicable employment laws, including anti-discrimination and equal opportunity regulations.
  • You will respond to applicants within the timelines established by the platform's SLA system.
  • You will not use applicant data obtained through the Service for any purpose other than evaluating and hiring for the posted roles.
  • You are responsible for the accuracy of your company profile, role descriptions, and hiring processes.

8. Prohibited Conduct

You agree not to:

  • Use the Service for any illegal, fraudulent, or unauthorized purpose.
  • Post fake or misleading job listings (“ghost jobs”).
  • Harvest, scrape, or collect personal data of other users without authorization.
  • Attempt to bypass security measures, authentication, or access controls.
  • Interfere with or disrupt the operation of the Service.
  • Impersonate any person or entity, or misrepresent your affiliation.
  • Use the Service to send unsolicited spam, promotional messages, or marketing communications.

9. Intellectual Property

The Service, including its design, features, content, and technology, is owned by LAYAworks and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

You retain ownership of the content you submit to the Service (such as application responses). By submitting content, you grant LAYAworks a non-exclusive, worldwide license to use, process, and display that content as necessary to provide the Service.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LAYAworks does not guarantee that the Service will be uninterrupted, error-free, or secure. We do not guarantee employment outcomes for applicants or hiring outcomes for employers.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAYAWORKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100.

12. Indemnification

You agree to indemnify, defend, and hold harmless LAYAworks and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately.

You may stop using the Service at any time. Provisions of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will survive.

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. When we do, we will update the “Last Updated” date at the top of this page. Material changes will be communicated through the Service or via email. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
